These Terms and Conditions ("Terms") govern your use of the website cogniwave.pro operated by CogniWave (BN 658291473RC0004), with principal place of business at 240 4th Avenue SW, Suite 900, Calgary, AB T2P 4H4, Canada. By accessing this site you agree to these Terms. If you do not agree, please discontinue use.
1. Website use
Content is provided for general information about our AI and automation services. You may view and download material for personal or internal business evaluation. You may not scrape, reverse engineer, or redistribute content without written permission.
2. No professional advice
Information on this site does not constitute legal, financial, or technical advice. AI outcomes depend on data quality, integration context, and operational factors. Engagements are governed by separate written agreements.
3. Enquiries and proposals
Submitting the contact form does not create a binding contract. We may decline projects at our discretion. Statements of work, master services agreements, or purchase orders signed by both parties supersede website descriptions.
4. Pricing and currency
Catalog prices are indicative estimates in Canadian dollars (CAD) excluding applicable federal and provincial taxes unless stated otherwise. Final pricing appears only in formal quotes or contracts.
5. Payments
Unless agreed otherwise, invoices are payable in CAD by electronic funds transfer or corporate card within net-thirty days of invoice date. Late payments may incur interest at 1.5% per month or the maximum permitted by law, whichever is lower.
6. Cancellations and changes
Project cancellations or scope changes require written notice. Work performed to the cancellation date is billable. Deposits for reserved capacity may be non-refundable as specified in your statement of work.
7. Refunds
Prepaid training or packaged services may be refunded on a pro-rata basis if cancellation occurs at least fourteen business days before the scheduled start and no deliverables have been shared. Custom development fees are generally non-refundable once discovery is complete.
8. Intellectual property
We retain ownership of our methodologies, pre-existing tools, and generic components. Client-specific deliverables and data remain your property subject to contract terms. Licence grants are defined in project agreements.
9. Limitation of liability
To the fullest extent permitted by applicable law, CogniWave is not liable for indirect, incidental, special, or consequential damages arising from site use or IT/AI services, including loss of profits, data, or business interruption. Our aggregate liability for any claim relating to website use is limited to CAD 500 unless a higher cap is set in a signed contract. Nothing in these Terms excludes liability that cannot be excluded under Canadian law.
10. Warranties
The website and general marketing materials are provided "as is" without warranties of uninterrupted access or error-free operation. Service-level commitments apply only where expressly documented in a signed agreement.
11. Third-party links
Links to external sites are provided for convenience. We are not responsible for third-party content or privacy practices.
12. Privacy
Personal information is handled as described in our Privacy Policy, consistent with PIPEDA and applicable provincial legislation.
13. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Disputes shall be subject to the exclusive jurisdiction of the courts of Alberta, with venue in Calgary, unless otherwise required by mandatory consumer protection rules.
14. Changes
We may revise these Terms by posting an updated version. Continued use after changes constitutes acceptance of the revised Terms.
